Charles A. Clemens, Esq. has been an Executive-in-Residence in the Department of Management and Marketing of the Boler School of Business at John Carroll University since 2001. From 1968 to his retirement in 1998, Mr. Clemens held various management positions at the international consulting firm of Watson Wyatt & Company. Mr. Clemens has served as a director of the Bank since 2005.

Dominic M. D’Amore, Jr. is one of the founding members of The D’Amore Tatman Group, LLC, a certified public accounting and business consulting firm. Prior to this current position, he was the partner-in-charge of the tax department of a regional Cleveland-based accounting firm for a period of fourteen years. Mr. D’Amore is a member of the American Institute of Certified Public Accountants, the Cleveland Chapter of the Ohio Society of Certified Public Accountants, and the National Association of Business Valuation Analysts. A lifelong resident of the Cleveland area, Mr. D’Amore has served as a director of the Bank since 2002.

Richard C. Ebner, CPA has served as the Chief Operating Officer and Chief Financial Officer of the Bank since March 2004. Mr. Ebner has more than thirty years of experience in the banking industry, primarily in the Cleveland area. Prior to his employment at the Bank, Mr. Ebner was CFO of DeepGreen Bank, an internet-only bank from April of 2000. From September of 1997 to April of 2000, Mr. Ebner was responsible for all the non-bank subsidiaries of Charter One Bank, N. A. Prior to the Charter One relationship, Mr. Ebner held various management positions at Haverfield Corporation from 1989 to 1997 and Home Bank, FSB, Haverfield's savings bank subsidiary from 1984 to 1997, ultimately serving as Chief Operating Officer, Chief Financial Officer and Treasurer of Haverfield and Chief Operating Officer, Chief Financial Officer and Treasurer of Home Bank. Prior to Home Bank, Mr. Ebner was employed with Key Bank in various capacities from August of 1972 to November of 1984. Mr. Ebner is a member of the American Institute of Certified Public Accountants, the Cleveland Chapter of the Ohio Society of Certified Public Accountants, and the Institute of Management Accountants.

Ann Marie Hawkins, J.D., C.P.A. is currently a shareholder/director of Hawkins and Company, L.P.A., a Cleveland law firm and a partner in Edward C. Hawkins & Co., Ltd., a Cleveland certified public accounting firm. Ms. Hawkins is also a director of several privately held companies including manufacturing, construction, health and beauty products and distribution businesses. She serves as a Trustee for several Cleveland area non-profit organizations. Ms. Hawkins is also a member of the Cleveland Chapter of the Ohio Society of Certified Public Accountants. Ms. Hawkins has served as a director of the Bank since 2005.

Jerry G. Kysela has been Resident Managing Director of Aon Risk Services, Inc., a global risk management, commercial insurance and employee benefits firm, since 2003. He is responsible for client service and business development in the Cleveland, Akron, Youngstown and Columbus offices. He joined Aon in 1991. Mr. Kysela is involved with the Achievement Centers for Children, Cleveland Central Catholic High School, United Way Services, Nancy Theiling Thurma Memorial Scholarship, and Leadership Cleveland. Mr. Kysela was elected as a director of the Bank in 2007.

Donald A. Latore has been employed in the mortgage banking field since 1971. Mr. Latore founded Assured Mortgage Corporation, a Northeast Ohio residential mortgage banking firm in 1982, and served as its President. Mr. Latore merged his company in 1999 with the Home Mortgage Assistance Corp., a Smythe, Cramer Co. subsidiary, and is now the President of Home Mortgage Assured Corporation. Mr. Latore is a member of, and has served on committees for, the Mortgage Bankers Associations of America and Ohio, the Mortgage Brokers Associations of America and Ohio, and the Cleveland Area Board of Realtors. Mr. Latore has served as a director of the Bank since 1999.

Joseph D. Miceli has been the Chief Executive Officer of Miceli Dairy Products Company since 1980. Mr. Miceli is a member of the Board of Trustees of the Northern Ohio Italian Americans (NOIA), a member of the Board of Directors of Urban Community School and Benedictine High School, and a member of Legatus. Mr. Miceli has served as a director of the Bank since 2005.

John R. Miller has been President of Solon Valley Hardware Inc., a retail hardware company, since 1960, when he founded the firm. Mr. Miller has served as a director of the Bank since its founding in 1989.

James Mirgliotta has been a principal officer of Forest City Erectors Inc., a Twinsburg-based steel erection firm, since 1962. He is also a director of that company. He has also served as Chairman of the Board and a director of Pre-Cast Services Company, a construction company that erects pre-cast concrete and granite products, and President of T.W. Easton Corporation, a heavy machinery rigging and cartage company. In addition, Mr. Mirgliotta has been the President of the Steel and Iron Contractors’ Association of Cleveland, national secretary and a member of the executive board of the National Erectors’ Association, a member of the board of directors of the Cleveland Construction Employers’ Association, and a member and past President of the Twinsburg Rotary Club. Mr. Mirgliotta has served as a director of the Bank since its founding in 1989 and as Chairman of the Bank from 1989 through June 2003.

J. Gordon Priemer is the President of Heartland Developers, LLC located in Cleveland, Ohio. In 1969, Mr. Priemer founded the real estate firm of Priemer & Barnes, which grew to be the third largest firm in greater Cleveland. Eight years later he merged the company with Ostendorf-Morris where he served as Senior Vice-President and Partner. In 1992, he founded Heartland Developers, LLC. Mr. Priemer has been involved in retail leasing, site location, industrial and office leasing, property and asset management, and investment sales and syndications. Mr. Priemer is also the owner of Jamieson-Ricca, a commercial window firm with specialties in historic projects requiring replications of original window details in order to meet Landmark requirements. Mr. Priemer was a key founder of the Entrepreneur Association and the Entrepreneur Program of the Boler School of Business at John Carroll University. At present, he serves as a Trustee of the CSA Health System, Trustee of Midtown Cleveland, Director of Realty Investors Corp., Chair of the Urban Housing Committee of the Home Builders Association of Greater Cleveland, Trustee of the Home Builders Association of Greater Cleveland, and Board Member of the Ohio Housing Finance Agency. Mr. Priemer has served as a director of the Bank since 2004.

Ralph R. Razinger has been CEO of CABMAT, LLC, a processor and distributor of non-ferrous metals, since 2006 when he founded the firm. He has over 25 years experience in the non-ferrous metals industry. Mr. Razinger is also a partner in RDR Development Group, LLC, which develops commercial and residential properties in both Ohio and Florida, and a partner in R&J Development, which builds custom homes in Northeastern Ohio. Prior to starting CABMAT, LLC, he was the CEO and a founding partner of Conversion Resources, Inc., a leading company in the North American Copper Industry from 1986 until its sale to PSC in 1997. After the sale, Mr. Razinger was under contract with PSC until 1999. He is a former director of the American Copper Council and currently serves on the boards of Bestway Systems Inc. and RLW Inc. Mr. Razinger was elected as a director of the Bank in 2007.

Daniel D. Smith is currently Chief Operating Officer of Consolidated Investment Corporation, a real estate investment and management company. Previously, he served as the company’s Chief Financial Officer overseeing real estate management and administrative services for their multi-site franchise restaurant business. Mr. Smith since 1993 has been a member of the Board of Trustees of Lake Erie College and has chaired their Buildings and Grounds Committee during that time. He currently serves on the Finance Committee of the Julie Billiart School in Lyndhurst, Ohio, and the Painesville City Local Schools Facilities Committee. Other current and previous affiliations include the Painesville City Improvement Corporation, Board of Directors, Painesville Area Chamber of Commerce, Board of Directors, Lake County Historical Society, Board of Directors, Painesville City Strategic Planning Committee, Painesville City Revitalization Committee, Painesville City Investment Advisory Committee, and Painesville City Local Schools Educational Foundation, Board of Directors. Mr. Smith has served as a director of the Bank since 1999.

William A. Valerian has served as a director of the Bank since 2001 and the Chairman of the Board since July 2003. In addition, Mr. Valerian was appointed Chief Executive Officer in January 2004. Prior to his appointment as Chief Executive Officer of the Bank, he was the Director of Mortgage Consulting at Smythe Cramer Co.’s subsidiary Home Mortgage Assured Corporation. Prior to that time, he was Director of the Muldoon Center for Entrepreneurship at John Carroll University for a three-year period ending December 31, 2001. Prior to his employment at the Muldoon Center, Mr. Valerian had a 32-year career in the banking industry, primarily in the Cleveland area. From September 1997 to September 2000, he was the President of Charter One Investor Services, a subsidiary of Charter One Financial, Inc., the parent of Charter One Bank, N.A. Prior to the Charter One relationship, Mr. Valerian held various management positions at Haverfield Corporation from 1989 to 1997 and Home Bank, FSB, Haverfield’s savings bank subsidiary from 1978 to 1997, ultimately serving as Chairman and CEO of Haverfield and President and CEO of Home Bank. Prior to Home Bank, Mr. Valerian was employed by Third Federal Savings and Loan Association of Cleveland.
